Risk factors
Strategic and competitive
Customer and revenue · Customer retention and subscription renewal
Our subscription agreements with our customers are typically for a term of one year. If our existing customers do not renew their subscriptions, do not buy additional solutions and user subscriptions from us, renew at lower aggregate fee levels, or early terminate their existing agreements, our business and operating results will suffer. We derive a significant portion of our revenues from the renewal of existing subscription orders.
Market position and competition · Disruptive competitors and new market entrants
With the introduction of new technologies, we expect competition to intensify in the future, and we may face competition from new market entrants as well. If their products or services are more technologically capable than ours (including as a result of new or better use of evolving AI technologies), then our revenues could be adversely affected.
Market position and competition · Competitive pressure and market share loss
We face intense competition in markets in which we operate and if we do not compete effectively, we may lose customers and our business and operating results could be adversely affected. The markets for our solutions are highly competitive. In new sales cycles within our largest product categories, we generally compete with other cloud-based solutions from providers that make applications geared toward the life sciences industry.
Innovation and product development · Product development and randd investment risks
If our newer solutions are not successfully adopted by new and existing customers, the growth rate of our revenues and operating results will be adversely affected. Our continued growth and profitability will depend on our ability to successfully develop and sell new solutions. It is uncertain whether these newer solutions will continue to grow as a percentage of revenues at a pace significant enough to support our expected overall growth.
Strategic execution · Geographic expansion and market entry
A key element of our growth strategy is to further expand our international operations and worldwide customer base. Operating in international markets requires significant resources and management attention and subjects us to regulatory, economic, and political risks that are different from those in the United States.
Strategic execution · Merger acquisition and divestiture risks
Acquisitions could divert our management's attention, result in additional dilution to our stockholders, and otherwise disrupt our operations. We have in the past acquired and may in the future seek to acquire or invest in businesses, solutions, or technologies that we believe could complement or expand our solutions, enhance our technical capabilities or otherwise offer growth opportunities.
Operational and execution
Core operations · Operational disruption and business continuity
The migration of our CRM customers to our Vault CRM applications built on our own Veeva Vault platform could cause business disruptions for customers and adversely affect our operating results. The migration of our Veeva CRM customers will require time and expense, which may be significant. These migration processes are complex and we cannot be certain that we will be successful.
Human capital and workforce · Key personnel dependence and succession
If our succession planning for key personnel is inadequate, the loss of one or more of our key employees could harm our business. In addition, changes in our senior management team may create uncertainty among our customers, investors, employees, or job candidates concerning Veeva's future direction and performance.
Human capital and workforce · Talent acquisition and retention
Difficulty attracting and retaining highly skilled employees could adversely affect our business and efforts to attract and retain such employees may increase our expenses. To execute our growth plan, we must attract and retain highly skilled employees. Competition for such employees and potential employees is intense.
Governance and stakeholder
Organizational and management · Leadership and management changes
Changes in our senior management team or other key personnel could have a negative effect on our ability to execute our business strategy. Our success depends in a large part upon the continued service of our senior management team and other key personnel. For example, our founder and Chief Executive Officer, Peter P. Gassner, is critical to our vision, strategic direction, culture, products, and technology.
Stakeholder relations · Customer satisfaction and loyalty
Our business could be adversely affected if our customers are not satisfied with the professional or technical support services provided by us or our partners. Our business depends on our ability to satisfy our customers, both with respect to our solutions and the professional services that are performed in connection with the implementation of our solutions.
Regulatory and compliance
Data and privacy · Data protection and privacy laws
Increasingly complex regulations relating to privacy, data protection, and cybersecurity are burdensome, may reduce demand for our solutions, and non-compliance may impose significant liabilities. We process personal data on behalf of our customers, who use our solutions to manage personal data of their employees, healthcare professionals, patients, and related individuals. Many countries and governmental bodies have adopted or may adopt laws and regulations governing our processing of personal and other data.
Legal and litigation · Litigation and legal proceedings
We have been and may in the future be sued for infringement or misappropriation of third-party intellectual property. We may suffer damages, which could be significant, or other harm from these lawsuits. Such claims and litigation have caused and in the future could cause us to incur significant expenses and, if successfully asserted against us, could require that we pay substantial damages or ongoing royalty payments.
Industry regulation · Regulatory compliance and changes
Nearly all of our revenues are generated by sales to customers in the life sciences industry, and factors that adversely affect this industry, including mergers within the life sciences industry or regulatory changes, could also adversely affect us. Regulatory changes, government policies, and government funding decisions related to the life sciences industry—Changes in regulations could negatively impact the business environment for our life sciences customers and for us.
Data and privacy · Regulatory investigations and penalties
Any actual or perceived failure to comply with such laws and regulations or other actual or asserted obligations relating to privacy, data protection, cybersecurity, or our processing of data could lead to inspections, audits, regulatory investigations and other proceedings, significant fines, penalties, and other relief imposed by government agencies and regulatory bodies.
Technology and information
Technology infrastructure · Cloud services and data center operations
We rely on third-party providers—including Amazon Web Services and Salesforce—for computing infrastructure, secure network connectivity, and other technology-related services needed to deliver our cloud solutions. Any disruption in the services provided by such third-party providers could adversely affect our business and subject us to liability. Our solutions are hosted from and use computing infrastructure provided by third parties.
Financial and market
Market and investment · Market volatility and economic cycles
Our common stock price has been and will likely continue to be volatile. The trading price of our common stock has been, and will likely continue to be, volatile for the foreseeable future. Uncertain macroeconomic and geopolitical factors have led to volatility in the stock market.
Capital structure and performance · Financial performance volatility
Our historic growth rates of total revenues and subscription revenues should not be viewed as indicative of our future performance. While we have experienced significant revenue growth in prior periods, it is not indicative of our future revenue growth. Our total revenue and subscription revenue growth rates have declined in the past and may decline in the future.
External and systemic
Geopolitical and trade · Government funding and budget changes
Regulatory changes, government policies, and government funding decisions related to the life sciences industry—Changes in regulations could negatively impact the business environment for our life sciences customers and for us. Reductions in funding and staffing of government agencies and changes in the funding and eligibility for healthcare programs relevant to the life sciences industry—such as the Food and Drug Administration, the National Institutes of Health, and Medicaid—could adversely affect the life sciences industry.
Economic and market conditions · Economic recession and downturns
Uncertain macroeconomic and geopolitical factors, including as a result of changes in trade policies and practices (including the imposition of additional tariffs or threats to impose additional tariffs), worldwide inflationary pressures, currency exchange fluctuations, changes in interest rates or other economic policies, geopolitical conflicts, and concerns about a possible domestic or global recession, may cause instability in the global economy.
